Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is a contract between you ("Affiliate," "you") and Clawnify B.V. ("Clawnify," "we," "us"). It governs your participation in the Clawnify Affiliate Program ("Program").

By applying to or participating in the Program, you agree to these terms.

1. Definitions

• "Affiliate Link" — The unique tracking link we provide you to refer new customers.

• "Commission" — The recurring payment you earn for each Qualified Referral.

• "Qualified Referral" — A new customer who (i) signed up using your Affiliate Link, (ii) completed their trial and converted to a paid plan, and (iii) maintained an active paid subscription for at least 30 consecutive days after their first payment.

• "Platform Fee" — The portion of a customer's subscription that covers infrastructure and margin, excluding credit costs. Commissions are calculated on the Platform Fee only.

• "Affiliate Dashboard" — Your personal dashboard showing referral activity, conversions, and commission payouts.

2. Commission Structure

2.1 Rate

You earn 20% recurring commission on the Platform Fee of each Qualified Referral's subscription, paid monthly for as long as the referred customer remains on an active paid plan.

2.2 Cookie Duration

90 days from the first click on your Affiliate Link.

2.3 Payout Threshold

Minimum €50 accumulated commission before payout is processed.

2.4 Payout Schedule

Monthly, with a 30-day hold after each qualifying payment to account for refunds or chargebacks.

2.5 What Earns Commission

Commissions are calculated on the Platform Fee portion of the customer's subscription only. Because Clawnify passes through AI credit costs at 0% markup, the credit portion of any subscription generates no commission. This ensures the commission structure is sustainable and transparent.

Example: A customer on the Team plan at $129/month (which includes $20 in credits at cost) has a Platform Fee of $109. Your commission: 20% × $109 = $21.80/month.

2.6 What Does Not Earn Commission

• Self-referrals (referring yourself or your own organization).

• Customers who cancel or receive a full refund within the 30-day qualification period.

• Customers acquired through prohibited promotional methods (see Section 4).

• Credit top-up purchases. Only recurring subscription revenue qualifies.

• Done-For-You onboarding fees or any one-time service charges.

2.7 Commission Adjustments

If a referred customer downgrades their plan, your commission adjusts to reflect the new Platform Fee starting in the next billing cycle.

If a referred customer upgrades, your commission adjusts upward starting in the next billing cycle.

If a referred customer cancels, your commission for that customer ends on their last paid billing cycle.

If we discover a referral was fraudulent or violated this Agreement, we may withhold unpaid commission and deduct the amount from future payouts if already paid.

2.8 No Second-Tier Commissions

The Program does not currently offer commissions on referrals made by your referrals. This may change in the future.

3. Payment

Commissions are paid monthly via our payment provider (currently Stripe). To receive payment, you must:

• Have a valid payment method on file with our payment provider.

• Have accurate and current contact information (legal name, email, address).

• Provide any tax documentation required by your jurisdiction (e.g., W-9 for US affiliates, VAT ID for EU affiliates).

Payments are made in USD. Currency conversion, if applicable, is handled by the payment provider at their prevailing rate.

If we cannot reach you or your payment information is invalid, we may hold payments until the issue is resolved. Held payments that remain unclaimed for 12 months may be forfeited.

4. Promotional Guidelines

4.1 Permitted

• Sharing your Affiliate Link on your website, blog, social media, email newsletter, or in direct communication with prospects.

• Creating honest content (reviews, tutorials, case studies, comparisons) that includes your Affiliate Link.

• Mentioning Clawnify in presentations, workshops, and webinars.

• Using marketing assets we provide (logos, banners, copy) without modification.

4.2 Prohibited

• Paid ads bidding on Clawnify brand terms. You may not bid on "Clawnify," "clawnify.com," or variations thereof in search engine advertising (Google Ads, Bing Ads, etc.).

• Spam. Unsolicited bulk email, SMS, or messaging of any kind.

• Misleading claims. Misrepresenting Clawnify's features, pricing, or your relationship with Clawnify.

• Fake reviews or testimonials. All endorsements must reflect genuine experience.

• Cookie stuffing or click fraud. Any attempt to manipulate tracking or attribution.

• Implying employment. You may not represent yourself as an employee, contractor, or official representative of Clawnify.

• Coupon or deal sites. Listing Clawnify on coupon aggregator websites without prior written approval.

A violation of this section is grounds for immediate termination (see Section 7).

5. Intellectual Property

We grant you a non-exclusive, non-transferable, revocable license to use the Clawnify name and logo ("Clawnify Marks") solely for your participation in the Program. You agree to:

• Use only the Clawnify Marks we provide, without modification.

• Follow any brand guidelines we share.

• Stop using the Clawnify Marks immediately upon request or upon termination of this Agreement.

All goodwill from your use of the Clawnify Marks belongs to Clawnify.

6. Confidentiality

Any non-public information you receive from us — including but not limited to product roadmaps, pricing strategies, customer data, and internal metrics — is confidential. You may use it only for your participation in the Program. You may not share it with third parties. This obligation survives termination of this Agreement.

7. Term and Termination

This Agreement begins when you generate your first Affiliate Link and continues until terminated.

Termination without cause: Either party may terminate with 30 days' written notice. Notices to Clawnify must be sent to [email protected].

Termination for cause: If you breach this Agreement, we may suspend or terminate your participation immediately. Grounds for immediate termination include: violation of promotional guidelines (Section 4), fraud, misrepresentation, or any activity that harms Clawnify's reputation.

Effect of termination:

• You must immediately stop using your Affiliate Link and all Clawnify Marks.

• If terminated for cause, all unpaid commissions are forfeited.

• If terminated without cause, commissions earned before the termination date will be paid on the next regular payout cycle, provided they meet the qualification criteria.

• Existing referred customers remain attributed to you for commission purposes for 12 months after termination (unless terminated for cause), after which attribution expires.

8. Limitation of Liability

Clawnify's total liability to you under this Agreement is limited to the commissions paid or payable to you in the 3 months preceding any claim.

Clawnify is not liable for indirect, incidental, or consequential damages, including lost profits, arising from your participation in the Program.

9. General

• Independent contractor. You are an independent contractor. Nothing in this Agreement creates an employment, agency, or partnership relationship.

• Non-exclusive. You may promote other products and services. Clawnify may work with other affiliates.

• Modifications. We may update this Agreement with 30 days' notice. Continued participation after the notice period constitutes acceptance. If you disagree, you may terminate.

• Governing law. This Agreement is governed by the laws of the Netherlands. Disputes will be resolved in the courts of Amsterdam, the Netherlands.

• Entire agreement. This Agreement, together with the Clawnify Terms of Service and Privacy Policy, constitutes the entire agreement between you and Clawnify regarding the Program.
